Great morning session hosted yesterday by Primerio together with our partners Corporate Counsel Association of South Africa (CCASA) Jack Hammer (Advaita Naidoo) TRADAM TRANSFORMATION SOLUTIONS DGD Group SilverCrest Insurance Brokers and Joburgstyle Media House in which a diverse group of speakers came together to discuss “Demystifying Governance, Risk and Compliance”. After John Oxenham set the scene discussing the manner in which global GRC trends are either impacting or being adopted in South Africa, the panels were designed to provide crisp and practical updates and guidance on how best to deal with GRC issues. One of the enlightening themes of the sessions was despite lots of debates around the policy choices taken (and such debates should continue to ensure a fit for purpose regulatory framework), adopting a proactive and sustainable approach to GRC issues can increase a company’s bottom line. This does require a mind set change as GRC is all too often viewed as an administrative and costly distraction to commercial objectives. In the context of deal making, one of my key points to get across is the importance of legal, compliance and local business teams getting together as early on in the process to identify the requirements and possible solutions. This is so particularly in international deals where the deal team is often unaware of the regulatory and political environment in South Africa (particularly in relation to transformation and empowerment obligations). To achieve commercially orientated solutions, one must know what is happening (and what can happen) on the ground. Often pragmatic and palatable solutions are achievable but if deal makers leave it to late in the day, it places significant pressure on the deal. To often local business teams are dealt with on a need to know basis.
